Solicitation of Expressions of Interest for Legal Advisory Services to the Corporate Restructuring Center of the Privatization Agency to assist and facilitate the creditors meetings

The Government of Serbia has obtained, through the Government of Serbia and Montenegro, a Technical Assistance Credit from the International Development Association to help finance the costs of privatizing a number of large and complex socially-owned enterprises (SOE), and intends to apply part of this Credit for services to be provided by a Legal Advisor to implement the projects and strengthen the institutional capacity of Corporate Restructuring Center (CRC) of Privatization Agency of Republic of Serbia (PA). The later component will provide technical assistance to strengthening the capacity of the CRC to supervise the restructuring/sales agents in the development and implementation of the above-mentioned Restructuring Programs including negotiations with each enterprise creditors.

In preparing for privatization through restructuring of enterprises, the PA has defined and developed procedures and terms that will be used during negotiations of Restructuring Programs with enterprise creditors. Therefore, the PA has determined to retain the Advisor to assist the PA and facilitate the creditors meetings in order to strengthen the Agency’s capacity to successfully execute the projects.

The Advisor to undertake the assignment outlined above shall meet the following requirements:
a) He/She shall have university degree and at least five years of general working experience.
b) English language and computer literacy are required
c) He/She must have extensive knowledge and experience in all aspects of enterprise restructuring and privatization in general and legal framework for legal entities negotiations with creditors in particular;
d) Has undertaken a significant number of important negotiations with creditors and experience in working with government institutions and banks in this respect.

It is envisaged that the services will be needed for a period of one year.

Individuals who meet above mentioned criteria are now invited to indicate their interest in providing the above services. Interested lawyers must submit their respective Curriculum Vitae to the PA presenting their qualifications to perform the services including a description of similar assignments or projects undertaken.

The selection will be done in accordance with the procedures set out in the World Bank's "Guidelines: Selection and Employment of Consultants by World Bank Borrowers", January 1997 (revised September 1997 and January 1999). Subject "Guidelines” could be found on web site www.worldbank.org .
